General Conditions of Sale

Introduction

The commercial transactions between Yisan S.R.O. (hereinafter referred to as “Yisan”) and professional customers (hereinafter referred to as “Customer”) shall be governed by the following terms and conditions. These terms supersede any conflicting provisions unless agreed in writing. Placement of any order implies full acceptance of these conditions.

The order is considered finalized and confirmed only upon receipt of the deposit specified in the Proforma Invoice, and after formal confirmation by Yisan.

Liability

Yisan assumes no liability for damages, whether direct or indirect, resulting from the sale of its products or services, including delays, non-deliveries, or inaccuracies in technical specifications provided. Customers agree to release Yisan from responsibility for circumstances beyond its control.

Orders

Orders are considered valid only after the required deposit, as per the Proforma Invoice, has been received.


•    Deposit Retention:
Any order cancellation, regardless of reason, may result in partial or full retention of the deposit to cover costs incurred, at Yisan's discretion.

 

•    Changes Before Confirmation:
Prices, quantities, and availability are subject to change without notice until the deposit is received and the order is confirmed.

 

•    Verification:
Customers must verify the accuracy of product specifications, quantities, and delivery terms in the Proforma Invoice and report any discrepancies immediately.

 

Prices

Prices listed are exclusive of VAT, shipping, and any applicable taxes unless explicitly stated. Yisan reserves the right to correct pricing errors and adjust prices at any time without prior notice. Orders placed with clearly erroneous prices may be canceled, even if initially confirmed.Product Availability

Product availability

Product availability shown on Yisan’s website is updated in real-time. However, stock availability is only guaranteed upon receipt of the deposit and order confirmation.

Delivery and risks

Deliveries are typically made within 3 business days or otherwise agreed after the order is processed and confirmed. The shipping method is determined by Yisan unless otherwise agreed.


    FOB Terms:

Goods shipped FOB (Free on Board) transfer all risks to the buyer once delivered to the specified carrier or delivery point.
 

    Goods Inspection:

Customers must inspect goods upon delivery and report any visible defects or shortages immediately via email to Yisan and on CMR. Failure to comply with these deadlines nullifies any claims.

Payment Terms

•    Payments must be made via irrevocable bank transfer, as detailed in the Proforma Invoice, unless otherwise agreed in writing.
•    Yisan retains ownership of all goods until full payment is received.

Disputes and Governing Law

This agreement is governed by the laws of Czech Republic, and any disputes shall be resolved exclusively in the courts of Prague CZ.

Acknowledgment

By making the deposit payment, the Customer acknowledges and agrees to all terms and conditions outlined herein and in the corresponding Proforma Invoice
